Terms of Service

By accessing or using any website, application, or service operated by Recursio Labs Pty Ltd ("Recursio Labs", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms constitute a legally binding agreement between you and Recursio Labs. We may update these Terms at any time; continued use after changes constitutes acceptance of the revised Terms.

Recursio Labs operates as an AI-focused product studio. Our services include, but are not limited to:

• recursiolabs.com -- our corporate website and investor relations portal
• ResumeAI -- a generative AI resume builder application
• Arctic Bank (arcticbank.io) -- a digital banking platform (governed by additional financial services terms)
• Spheriq (spheriq.io) -- our application development consultancy

Individual products may have supplementary terms that apply in addition to these Terms. In the event of a conflict, the product-specific terms prevail for that product.

Certain services require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unauthorised purposes.

All content, software, algorithms, designs, trademarks, logos, and other intellectual property displayed on or through our services are owned by or licensed to Recursio Labs and are protected by Australian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit our intellectual property without prior written consent, except as expressly permitted by these Terms or applicable law.

The Recursio Labs name, logo, ResumeAI, Arctic Bank, and Spheriq marks are trademarks of Recursio Labs Pty Ltd. Unauthorised use is strictly prohibited.

You retain ownership of any content you submit, upload, or input into our services ("User Content"). By submitting User Content, you grant Recursio Labs a non-exclusive, worldwide, royalty-free licence to use, process, and store that content solely for the purpose of providing and improving our services.

You represent and warrant that you have all rights necessary to submit User Content and that it does not infringe the rights of any third party.

Our products may generate content using artificial intelligence ("AI Output"). While we strive for accuracy and quality, AI Output:

• May contain errors, inaccuracies, or biases and should be reviewed before use
• Is provided "as is" without warranties of any kind regarding accuracy or fitness
• Should not be relied upon as professional, legal, financial, or medical advice
• Remains your responsibility to verify and validate before professional or official use

Ownership of AI Output generated from your inputs is governed by the applicable product's specific terms.

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to our systems, networks, or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use automated systems (bots, scrapers, crawlers) to access our services without permission
• Transmit malware, viruses, or other harmful code
• Harass, abuse, or harm other users or our staff
• Misrepresent your identity or affiliation with any person or entity
• Use our services to generate content that is harmful, discriminatory, defamatory, or illegal

To the maximum extent permitted by law, Recursio Labs and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services.

Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) AUD $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, personal injury, or death caused by negligence.

You agree to indemnify, defend, and hold harmless Recursio Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of our services, your User Content, or your violation of these Terms.

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately.

Provisions that by their nature should survive termination shall survive, including intellectual property provisions, limitation of liability, indemnification, and governing law.

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising from these Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
